These terms govern your use of aiassistants.in and the services provided by QubitBots AI Technologies Pvt. Ltd. ("we", "us"). By using the site or engaging our services, you agree to these terms.
1. The service
We design, build, deploy, and manage custom AI agents for our clients. Specific scope, deliverables, timelines, and fees for each engagement are set out in a separate written statement of work (SOW) signed by both parties.
2. Client obligations
- Provide accurate business information, access to systems, and reasonable cooperation during discovery, build, and deployment.
- Ensure you have the rights to any data, brand assets, or third-party content you share with us.
- Pay invoices within the agreed terms (net-15 by default unless the SOW says otherwise).
3. Fees, taxes, refunds
- Build fees are one-time and payable per the SOW (typically 50% at kickoff, 50% at go-live).
- Retainers are monthly and invoiced upfront.
- All fees are exclusive of GST and other applicable taxes.
- Build fees are non-refundable once work has commenced. Retainer refunds are prorated for the unused portion of a month.
4. Intellectual property
- Your data stays yours. You retain full ownership of your business data and content.
- Custom agent code delivered to you is yours at the end of the engagement, subject to full payment.
- Our platform, tooling, and pre-existing IP (frameworks, libraries, methodologies) remain ours; you get a perpetual, non-exclusive licence to use them as embedded in your deployment.
- You grant us a limited licence to use your logo and non-confidential outcomes as case studies unless you opt out in writing.
5. Confidentiality
Both parties agree to keep confidential information private and to use it only for the purposes of the engagement. Confidentiality obligations survive termination for 3 years.
6. Warranties and liability
- We warrant that our services will be performed with reasonable care and skill.
- AI agents are probabilistic systems and may occasionally produce incorrect outputs. We do not warrant that outputs will be error-free. Clients are responsible for human-in-the-loop review where the domain requires it (medical, legal, financial advice, safety-critical decisions).
- To the maximum extent permitted by law, our aggregate liability is capped at the fees paid to us in the 12 months preceding the claim.
- Neither party is liable for indirect, incidental, or consequential damages.
7. Term and termination
- Engagements begin on the SOW effective date and continue until completed or terminated.
- After an initial 90-day period, monthly retainers are cancellable with 30 days written notice.
- Either party can terminate immediately for material breach unremedied after 15 days notice.
- On termination, we deliver a snapshot of your data + agent code within 15 days.
8. Governing law + disputes
These terms are governed by Indian law. Disputes will be resolved in the courts of Hyderabad, Telangana. The parties agree to attempt good-faith resolution before litigating.
9. Website use
You may not scrape, resell, or reverse-engineer the website; use it to send unsolicited communication; or infringe our or third-party rights. We may suspend access for abusive behaviour.
10. Changes
We may update these terms. For existing clients, changes take effect at the next renewal after 30 days notice.
